Pertama Digital Bhd said the deadline to complete its proposed purchases of 80% interests in D-Ron Singapore Pte Ltd (D-Ron SG) and D-Ron Malaysia Sdn Bhd (D-Ron MY) has been extended to Dec 31, 2026, following an additional deposit payment of S$799,600, or RM3.26 million.

According to its Bursa Malaysia filing, a fifth supplemental letter signed on Oct 30, 2026 amended the acquisition terms agreed with the vendors. They moved the additional deposit deadline from Sept 30 to Oct 30, 2026, and Pertama Digital paid within that revised period.

Only the Singapore transaction required the extra payment. Failure to pay would have ended both agreements, with the vendors retaining the existing deposits. Earlier deposits amounted to S$1.52 million for D-Ron SG and RM249,824 for D-Ron MY.

The deals were announced on June 20, 2025. The proposed 80% interests are priced at S$30.41 million for D-Ron SG and RM5 million for D-Ron MY. Both companies install, maintain and support surveillance and technology systems, and distribute IT and surveillance hardware.

Pertama Digital said financing would come from external borrowings and/or shareholder advances. Its major shareholder, MyPay Capital Sdn Bhd, received a March 13, 2025 letter offering up to RM150 million from Vincaps Holdings Sdn Bhd, conditional on Bursa Malaysia approving Pertama Digital's regularisation plan.

MyPay Capital, which holds 10.073% of Pertama Digital, intends to channel that funding into advances for the acquisitions. The transactions form part of the company's regularisation efforts following the 2022 disposal of its major business.

Pertama Digital entered Practice Note 17 (PN17) status in July 2026 after shareholders' equity dropped below Bursa Malaysia's threshold. Its regularisation plan submitted to the Securities Commission Malaysia includes both D-Ron purchases.
