Edelteq proposes RM15.3 million deal for control of Nixma
Nixma would receive RM10.8 million for expansion through a share subscription, with completion expected by the fourth quarter of 2026.

Edelteq Holdings Bhd is proposing to invest RM15.3 million to secure 51% of factory automation company Nixma Technology (M) Sdn Bhd. The semiconductor equipment maker said the move is expected to diversify its earnings and lessen reliance on its existing semiconductor-related businesses.
In a bourse filing, Edelteq said agreements with Tan Yean Chong, Mathew Perera and Lim Poh Chuan cover two components: a cash purchase of 15% for RM4.5 million and a RM10.8 million subscription for new shares representing 36%. Together, the existing shareholders would hold the other 49% following completion.
The RM10.8 million subscription will provide Nixma with funding for expansion, which could include constructing a factory, purchasing industrial land or acquiring factory premises. Edelteq plans to use internal funds and bank borrowings, but has yet to determine the funding mix.
Established in 2017, Penang-based Nixma designs and assembles equipment for factory automation. Its products include robotic systems and leak detection equipment, serving customers across industries such as electronics, automotive, defence and medical equipment.
The three shareholders have guaranteed Nixma's audited net profit at a minimum of RM6 million for its financial year ending Dec 31, 2026. Any shortfall must be paid to Nixma by those shareholders. The proposed investment implies a valuation of approximately RM30 million.
For its financial year ended Dec 31, 2025, Nixma posted revenue of RM29.42 million and profit after tax of RM3.35 million. Its management will continue running daily operations, while key personnel must remain for at least five years.
Completion is anticipated by the fourth quarter of 2026. Approval from Edelteq's shareholders is not required.
