CelcomDigi Bhd said its wholly-owned unit, CelcomDigi Telecommunications Sdn Bhd, has lodged a proposed sukuk programme with Securities Commission Malaysia (SC), allowing for issuance of up to RM10 billion in nominal value.

In its Oct 23 bourse filing, the telco said funds would support capital expenditure and working capital, alongside general funding and corporate needs across the issuer, its subsidiaries and the CelcomDigi group.

Other uses include refinancing conventional and Islamic debt, funding future Islamic financings and redeeming sukuk outstanding under the programme. Proceeds would also meet programme and issuance fees and expenses.

The programme has no fixed end date and carries an AAA rating from RAM Rating Services Bhd. Issuances will follow Murabahah through a Tawarruq arrangement, and the company said all proceeds must go towards Shariah-compliant purposes.

AmInvestment Bank Bhd and CIMB Investment Bank Bhd will jointly advise, arrange and manage the programme. The Shariah advisory roles are shared by AmBank Islamic Bhd and CIMB Islamic Bank Bhd.

CelcomDigi’s loans and borrowings stood at RM14.46 billion on June 30, 2026, compared with RM13.85 billion at end-December 2025. Cash and cash equivalents totalled RM684 million.

At the Oct 23 close, CelcomDigi shares were at RM2.44, a decline of six sen or 2.4%, valuing the company at RM28.63 billion. The stock had lost some 24% year to date.
